Terms of Use

1. Introduction and Acceptance of Terms

  1. These Terms of Use ("Terms") govern your access to and use of WAA's media art licensing platform and related services (the "Service").

  2. By using the Service, you automatically agree to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Definitions

  1. "Media Art Content" refers to digital artworks created using digital technology, including video, sound, and interactive elements.

  2. "License" means the authorized permission to use specific Media Art Content.

  3. "Exhibition Location" means the specific location designated in the license agreement.

  4. "User" means any individual or entity using the Service.

  5. "Company" refers to WAA and its affiliates.

3. Terms Modification

  1. The Company reserves the right to modify these Terms at any time at its sole discretion.

  2. Modified Terms become effective upon posting to the website.

  3. Your continued use of the Service after any modifications indicates your acceptance of the modified Terms.

  4. The Company is not obligated to provide individual notice of changes to the Terms.

4. License Terms

  1. Scope of Use

    • Exhibition rights limited to contracted location and period

    • Non-exclusive, non-transferable usage rights

    • Usage restricted to specified display devices

    • Content must be used only in Company-approved methods

  2. Restrictions

    • No modification, editing, or transformation of content

    • No sublicensing or transfer

    • No use outside designated location

    • No online streaming or retransmission

    • No third-party usage without Company's prior written consent

5. Service Fees and Payment

  1. The Company reserves the right to modify service fees without prior notice.

  2. All payments must be completed within 7 days of contract execution.

  3. No refunds are available after license purchase due to the nature of the Service.

  4. Additional charges may apply based on usage patterns.

6. Service Suspension and Termination

  1. The Company may restrict or terminate service immediately without prior notice for:

    • System maintenance, updates, or technical issues

    • Operational necessities as determined by the Company

    • Terms violations

    • Force majeure events

  2. The Company shall not be liable for any damages resulting from service suspension or termination.

7. Intellectual Property Rights

  1. All content available through the Service is protected by copyright laws and belongs to the Company or respective rights holders.

  2. Users may only use content within explicitly licensed terms.

  3. Any copyright infringement will result in immediate service termination and legal action.

8. Company's Rights and Disclaimer

  1. The Company provides the Service "as is" and "as available" without any warranties.

  2. The Company reserves the right to:

    • Monitor and review all content usage

    • Remove or disable access to any content

    • Investigate potential Terms violations

    • Take legal action against violators

  3. The Company shall not be liable for:

    • Service interruptions or modifications

    • Data loss or security breaches

    • Damages resulting from user actions

    • Third-party claims

9. User Obligations

  1. Users must:

    • Comply with all license terms

    • Maintain security of their account

    • Report unauthorized usage

    • Pay all applicable fees

  2. Users must not:

    • Violate any applicable laws

    • Infringe intellectual property rights

    • Share access credentials

    • Attempt to circumvent technical protections

10. Limitation of Liability

10.1. The Company's total liability shall not exceed the amount paid by user for the Service in the preceding 12 months.

10.2. The Company is not liable for:

  • Indirect or consequential damages

  • Lost profits or business opportunities

  • Data loss or corruption

  • Third-party claims

11. Dispute Resolution

  1. These Terms shall be governed by the laws of the Republic of Korea.

  2. Any disputes shall be subject to the exclusive jurisdiction of the courts where the Company's headquarters is located.

  3. Users waive any right to participate in class action lawsuits against the Company.

12. General Provisions

  1. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full effect.

  2. The Company's failure to enforce any right or provision of these Terms shall not constitute a waiver.

  3. These Terms constitute the entire agreement between users and the Company.

  4. The Company may assign its rights and obligations under these Terms without restriction.

14. Survival

  1. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
